Summary

We’ll always do our best to fulfil your needs and meet your expectations, but it’s important to be clear so that everyone know what’s what, who should do what and when, and what will happen if something goes wrong. In this page you won’t find any complicated legal terms or long passages of unreadable text. We’ve no desire to trick you into something that you might later regret. What we do want is what’s best for both parties, now and in the future.

So in short;

You or your company are hiring us Hello Developers to conduct ongoing maintenance of your website at a monthly cost of $35 / $100 / $250 (+GST if based in Oz).

Of course it’s a little more complicated, but we’ll get to that.

What do both parties agree to do?

You: You have the authority to enter into this contract on behalf of yourself, your company or your organisation. You’ll give us everything we need to complete the requested work as and when and in the format we need it. You’ll review our work, provide feedback and approval in a timely manner too. You also agree to stick to the payment schedule set out at the end of this contract.

Us: We have the experience and ability to do everything we’ve agreed with you and we’ll do it all in a professional and timely manner. We’ll endeavour to conduct regular maintenance on your website and ensure that it continues to hold functionality and is updated accordingly.

Getting down to the nitty gritty

Commencement date: The plan will commence on the 1st of the following month after purchase.
Termination date: any time before the next monthly payment.

Termination provisions (who may terminate and when):
Either party may terminate this contract with a minimum 1 month notice.

On termination, Hello Developers will provide copies of all data, documents, code, passwords and any other materials held in whatever form and provide reasonable assistance to enable you or your company to maintain the website to the same standards. Any intellectual property or proprietary materials in the work, product or other materials provided to you or your company will be passed to you or your company.

Renewal provisions:
The contract is renewed monthly and paid on the 1st of each month to cover work for that month. At the end of the term the contract is open for renewal or termination.

Disclaimer:

After sign off and deployment to production (live environment), each request for work will contain a 7 day warranty, which includes anything that isn’t as we discussed in previous correspondence and should be brought to our attention before this time threshold has passed. This is serviced at no additional cost. After this time has passed any fixes or updates will be considered a new request and either deducted from the monthly time allowance or billed at the maintenance rate.

Scope

All plans include backups and updates. All plans except the Essential include monthly web development time. We will schedule in a regular time each month that works for all parties and notify you two days before.

Requests should be emailed to support@nullhello-developers.com 3 days prior to the agreed time with any required information attached. If the work requested is likely to go over the allocated hours we will notify you before we commence the work. You will have the option to wait until the next months allocated time or to add additional hours to the month.

Additional hours will be charged at the discounted hourly rate of $100 + GST.

Essential Care Plan

Web standards change constantly and as a result websites need to be maintained, much like software for a computer or oil in a car. In order to keep on top of these updates we will complete a comprehensive sweep of the site to ensure that all functionality has been updated and works cohesively with the latest changes. This will encompass the following:

WordPress and plugin updates

WordPress, plugins and themes are constantly updated to keep up with changing web standards. Updates will be done each month along with a backup, test, malware scan, security check and database optimisation.

Generally this will take at least 1 hour. If there is additional time available we will also check the site display on various browsers and make any content changes or improvements to the site with your permission.

Browser testing

Cross browser testing will also be done quarterly on date set by either party, we are more than accommodating to complete this in a time period that suits the needs of your business.

What will cross browser testing entail:

Desktop browser testing

We test our work in current versions of major desktop browsers including those made by Apple (Safari), Google (Chrome), Microsoft (Internet Explorer and Edge) and Mozilla (Firefox). We’ll also test to ensure Microsoft Internet Explorer 11 and above for Windows users gets an appropriate, possibly different, experience. Won’t test in other older browsers unless you specify otherwise, this would incur an additional cost depending on how many browsers.

Mobile browser testing

Testing popular small-screen devices is essential in ensuring that a person’s experience of a design is appropriate to the capabilities of the device they’re using. We test our work in iOS: Safari, Google Chrome and Android 4.x: Google Chrome and Firefox.

Please note that we currently don’t test Blackberry, Opera Mini/Mobile. If you need us to test using these, we can provide a separate estimate for that.

Illustration
Photography
Server maintenance
Email maintenance
Technical support

Web development for any other website than the above listed
Of course, we are willing to provide separate estimates for you if you require any additional work that falls outside this maintenance agreement.

Urgent work

From time to time you or your company may have urgent works which require an immediate or within a 24 hour solution. Such urgent works will be noted as such and time incurred on such tasks will be billed at $150 per hour + GST with a minimum 1 hour charge.

Legal stuff

We can’t guarantee that our work will be error-free and so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them.

Finally, if any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions.

Phew.

Payments

We’re sure you understand how important it is as a small business that you pay the invoices that we send you promptly. As we’re also sure you’ll want to stay friends, you agree to send payment within 14 days of invoice issue. This will be highlighted on the invoice itself and for care plans it’s a recurring payment so please check your credit card expiry.

But where’s all the horrible small print?

Just like a parking ticket, you can’t transfer this contract to anyone else without our permission. This contract stays in place until the termination date and at the end of this time period both parties can discuss a new contract or the parting of ways.. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.

Although the language is simple, the intentions are serious. The contents of this agreement, its meaning and interpretation and the relation of the parties are to be governed by the laws of New South Wales. The parties submit to the jurisdiction of the courts of New South Wales.
